ether.fi Trading and Lending Rewards Program Terms

These Trading and Lending Cashback Rewards Program Terms and Conditions ("Terms") govern the rebate programs (each, a "Cashback Program") applicable to (a) trading activity ("Trading") and (b) borrowing activity ("Lending") conducted through your ether.fi account (your "Account"). The Cashback Program is operated by Ether.Fi SEZC ( "Provider").

These Terms supplement, and do not replace, the applicable Terms of Use (each, an "Applicable Agreement") between you and Provider, and together with the Applicable Agreement constitute the entire agreement between you and Provider regarding the Cashback Program. Use of the Trading or Lending features of your Account constitutes your acceptance of these Terms. In the event of any conflict between these Terms and an Applicable Agreement, the Applicable Agreement shall govern except for matters specifically related to the Cashback Program, in which case these Terms shall govern.

All capitalized terms not defined herein shall have the meaning set forth in the Applicable Agreement.

1. ELIGIBILITY

To be eligible to earn rebates under the Cashback Program, you must have an active Account in good standing and must not be restricted from using the Trading or Lending features of your Account under the Applicable Agreement or the laws of your jurisdiction. Provider may, in its sole discretion, determine whether your Account is in good standing for purposes of the Cashback Program.

2. TRADING REBATES

a. Qualifying Transactions: You may earn a rebate ("Trading Rebate") on each trade ("Trade") transaction you execute through your Account that is not an Excluded Transaction under Section 2(b) (each, a "Qualifying Trading Transaction").

b. Excluded Transactions: The following are not Qualifying Trading Transactions and do not earn a Trading Rebate: transactions that fail, are cancelled, or are reversed prior to settlement; transactions between Accounts under common ownership or control; wash trades or other transactions Provider determines, in its sole discretion, were structured to generate Trading Rebates without bona fide trading purpose; and any other transaction type Provider designates as excluded.

c. Provider Discretion: Provider reserves the right, at its sole discretion, to grant a Trading Rebate via the Cashback Program even if a transaction did not meet the requirements of a Qualifying Trading Transaction.

3. LENDING REBATES

a. Qualifying Balances: You may earn a rebate ("Lending Rebate") on your outstanding borrowed balance for each period during which that balance is not subject to a payment default, liquidation, or other violation of the Applicable Agreement (a "Qualifying Borrow Balance").

b. Excluded Transactions: The following are not Qualifying Balances and do not earn a Lending Rebate: borrowed balances between Accounts under common ownership or control; borrow-and-repay cycles or other borrowed balances that Provider determines, in its sole discretion, were structured to generate Lending Rebates without a bona fide borrowing need; and any other borrowed balance type Provider determines are excluded.

c. Provider Discretion: Provider reserves the right, at its sole discretion, to grant a Lending Rebate via the Cashback Program even if a balance did not meet the requirements of a Qualifying Borrow Balance.

4. REBATE DENOMINATION; NO CASH VALUE; MARKET RISK

All rebates under the Cashback Program (Trading Rebates and Lending Rebates, together with Cashback Rewards under the ether.fi Cash Cashback Rewards Program, "Rebates") are denominated and paid in tokens. Provider may, in its sole discretion, limit the maximum Trading or Lending Rebates a user may earn per month.

The USD-equivalent value of a Rebate is determined at the time the Qualifying Trading Transaction or Qualifying Borrow Balance becomes eligible for a Rebate using on-chain price oracles or other pricing sources available to Provider in its sole discretion, and will fluctuate with the market price. You bear all market risk on the value of the token from the time a Rebate accrues, including the risk that its value declines substantially or to zero. Ether.fi reserves the right to change the Rebate type, pricing methodology, or payout frequency in its sole discretion, and will notify users in the event of such changes.

5. CLAIMING AND EXPIRY OF REBATES

a. Accrual: Rebates may be credited to your Account as pending following the date they are earned, as determined by Provider in its sole discretion from time to time (“Pending Period”), and may not be eligible to be claimed during the Pending Period. At the end of the Pending Period, a Rebate may accrue to a claimable balance associated with your Account, and you may need to affirmatively claim accrued Rebates in the ether.fi application.

b. Claim Threshold: You may claim an accrued Rebate balance once its USD-equivalent value reaches an amount determined by Provider in its sole discretion from time to time, calculated using the pricing methodology described in Section 4 at the time you attempt to claim. Because that value is measured against market prices, any token quantity required to reach the threshold, and whether a given balance is currently eligible to claim, will vary with price. Eligibility to claim is assessed at the time of your claim attempt; a balance that previously reached the threshold but has since fallen below it due to market fluctuation or a change in the threshold amount is not eligible to claim until it reaches the threshold again.

c. Expiry: Any accrued Rebate balance that is not claimed within the earlier of (i) six (6) months of the date it accrued, or (ii) if your account has been inactive for three (3) consecutive months, three (3) months from the date the applicable Rebate accrued, will automatically expire and be forfeited, and the corresponding Rebate will revert to the Foundation.

d. Account Closure or Restriction: If your Account is closed, any accrued Rebate balance that has not been claimed on the closure date may be forfeited. If your Account is suspended or otherwise restricted but not closed, any accrued Rebate balance may remain outstanding and may still be claimed once the suspension or restriction is lifted, provided the balance has not already expired under Section 5(c). Where the restriction arises because Provider believes, in its sole discretion, that permitting a claim would violate these Terms or applicable law or regulation, including but not limited to economic sanctions, anti-money money laundering, or export control laws, any accrued but unclaimed reward will expire under Section 5(c).

6. REBATE ERRORS, DISPUTES, AND REVERSALS

a. Error Reporting: It is your responsibility to notify Provider if you do not receive a Rebate you believe you are owed or believe there is an error. Please contact Customer Service at support@ether.fi.

b. Time to Report: You must notify Provider of any suspected error within sixty (60) days of the date on which the suspected error appeared in your Account.

c. Investigation: Provider will investigate any reported errors and will correct any errors that Provider confirms within a reasonable time.

d. Reversals: Rebates may be reversed if the underlying transaction or borrowed balance is later reversed, unwound, refunded, is found to have been executed in error, was made in violation of the Applicable Agreement or these terms, or for any reason Provider may determine in its sole discretion from time to time. In such cases, Provider may debit your Account, reduce future Rebates, or reduce a refund amount by the USD-equivalent value of the Rebate at the time it was originally credited. These adjustments may be made automatically and without prior notice, unless otherwise required by law.

7. TAX IMPLICATIONS

You are solely responsible for determining and obtaining appropriate tax treatment of any Rebate you claim, and for any tax liability arising from or related to any Rebate. Provider will not report income or earnings related to Rebates to any taxing authority except where expressly required by law.

8. ACCOUNT STANDING

If your Account is not in good standing or you are otherwise in violation of the Applicable Agreement, Provider reserves the right to apply the value of your accrued Rebates to offset any outstanding amount owed on your Account.

9. FRAUD AND PROGRAM MISUSE

a. Prohibited Conduct: In Provider's sole discretion, Provider may suspend or terminate your account, or prohibit you from earning, claiming, or using Rebates you have already earned if Provider suspects or determines that you have (i) engaged in fraudulent activity related to your Account or the Cashback Program, or (ii) misused the Cashback Program in any way, as determined by Provider in its sole discretion, including but not limited to wash trading, self-dealing between Accounts under common control, or structuring borrow-and-repay cycles for the purpose of generating Lending Rebates without bona fide borrowing need.

b. Duration: Any suspension may be temporary or permanent at Provider's sole discretion.

c. Transaction Disqualification: Provider reserves the right to disqualify transactions or borrowed balances that are not usual, customary, or that Provider determines, in its sole discretion, were structured or intended to abuse the Cashback Program. Abuse of the Cashback Program may result in the Account being suspended or closed.

d. Rewards Forfeiture: Provider reserves the right to forfeit your accrued Rebates if you close your Account, or your account is terminated by Provider.

e. Reward Reversal due to Fraud or Program Misuse: Provider may review your activity at any time for compliance with these Terms and has sole discretion to withhold, reverse, or reclaim any Rebate earned in violation of these Terms, including by debiting your account, reducing future Rebates, or reducing a refund amount by the USD-equivalent value of the Rebate at the time it was originally credited.

10. PROGRAM CHANGES AND TERMINATION

a. Program Modifications: Provider may modify the Cashback Program and any related terms or conditions, including, without limitation, fee levels, Rebate type, Rebate rates and allocations, the types of Qualifying Trading Transactions or Qualifying Borrow Balances, claim thresholds, expiry periods, and any maximum or minimum Rebate amounts, at any time. Provider will give at least 7 days' notice before making such a change. If the change is to your advantage, Provider may make the change immediately and notify you within 30 days after the change is made.

b. Program Termination: Provider may terminate the Cashback Program at any time. If the Applicable Agreement is terminated, these Terms will also immediately terminate.

c. Notice: Provider may update these Terms with at least 30 days' notice to you by posting an updated version of these Terms, by email, or as an eDocument available in the application. Continued use of the Trading or Lending features of your Account after any such change constitutes your agreement to be bound by the change.

d. Termination Effects: If the Rewards Program is terminated, all Rebates that have not been credited to your Account at the time of termination may be forfeited.

BY USING THE TRADING OR LENDING FEATURES OF YOUR ACCOUNT, YOU AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT.
